1. Services

KD Freight Solutions LLC provides independent freight dispatch services for motor carriers, including load sourcing, rate negotiation, broker communication, and administrative support. KD Freight Solutions LLC is not a freight broker, motor carrier, or shipper.

2. Carrier Responsibility

The Carrier remains solely responsible for operating authority, insurance, safety compliance, driver qualification, equipment maintenance, Hours of Service compliance, cargo claims, and all transportation activities.

3. Independent Contractor Relationship

KD Freight Solutions LLC operates as an independent contractor. Nothing in this agreement creates an employer-employee, partnership, or joint venture relationship.

4. Fees & Payment

Dispatch fees are due according to the service agreement signed by the Carrier. Fees are earned once a load is booked and accepted by the Carrier. Late payments may result in suspension of services.

5. No Guarantee of Freight

KD Freight Solutions LLC does not guarantee specific load availability, freight volume, rates, revenue, or profitability. Market conditions may affect load opportunities.

6. Rate Confirmation Approval

The Carrier is responsible for reviewing and approving all load details before accepting any shipment. Acceptance of a load constitutes agreement with the load terms.

7. Communication

The Carrier agrees to maintain reasonable communication regarding availability, pickup and delivery updates, and operational issues that may affect service.

8. Limitation of Liability

KD Freight Solutions LLC shall not be liable for freight loss, cargo claims, delays, accidents, equipment failures, regulatory violations, missed appointments, weather events, broker non-payment, or other operational losses.

9. Confidentiality

Both parties agree to keep business information, customer information, rates, and operational details confidential unless disclosure is required by law.

10. Testimonials & Marketing Consent

By voluntarily providing a testimonial, review, photograph, video, company logo, or other promotional content, the Carrier grants KD Freight Solutions LLC a non-exclusive, royalty-free right to use, reproduce, publish, and display such content for marketing, advertising, website, social media, and promotional purposes. Carriers may request removal of their testimonial in writing, and reasonable efforts will be made to honor such requests going forward.

11. Termination

Either party may terminate services at any time upon written notice, subject to completion of any active loads already booked and accepted.

12. Trial Services

Any free trial period is offered at the discretion of KD Freight Solutions LLC and may be modified or discontinued at any time.

13. Governing Law

These Terms & Conditions shall be governed by the laws of the State of Georgia.

14. Acceptance

By using the services of KD Freight Solutions LLC, the Carrier acknowledges that they have read, understood, and agreed to these Terms & Conditions.
